Job Details We are seeking a Corporate Associate Attorney to join a sophisticated business and transactional practice representing entrepreneurs, emerging growth companies, investors, and established middle-market businesses through all stages of growth. This role will involve a broad mix of general corporate, M&A, venture capital, securities, governance, and commercial transaction work. The ideal candidate will be comfortable drafting and negotiating transaction documents, managing deal flow, communicating directly with clients, and working closely with partners on fast-moving business matters. Responsibilities may include: • Drafting, reviewing, and negotiating corporate and transactional documents, including purchase agreements, operating agreements, shareholder agreements, financing documents, board consents, corporate governance materials, and commercial contracts. • Supporting mergers and acquisitions, venture financings, private placements, securities compliance, entity formation, corporate restructurings, and other business transactions. • Advising startups, emerging growth companies, investors, and private businesses on day-to-day corporate matters. • Managing diligence requests, disclosure schedules, closing checklists, transaction timelines, and deal-related communications. • Working directly with clients, opposing counsel, investors, and internal deal teams to move transactions efficiently from kickoff through closing. • Assisting with corporate governance, equity matters, securities filings, and ongoing business advisory needs. • Providing practical, business-minded legal guidance in a fast-paced, entrepreneurial environment. Ideal Candidate: • 3+ years of corporate transactional experience, ideally with exposure to M&A, venture capital, securities, emerging growth companies, or general corporate matters. • Strong drafting, negotiation, and client communication skills. • Experience managing deal documents, diligence, closings, and corporate governance matters. • Comfortable working with founders, executives, investors, and business owners. • Ability to balance multiple transactions and deadlines while maintaining strong attention to detail. • Entrepreneurial mindset with the ability to provide practical, responsive, business-oriented legal advice.
