Job Title: Capital Markets/Securities Associate
Location: Charlotte, North Carolina 28202
Description:

A large southeastern law firm with a growing national practice, is seeking a Capital Markets/Securities Associate.
This attorney will serve as an important member of our client's team, working with senior leadership of the firm's public and private issuer clients as well as investor clients on a wide range of securities offerings and compliance matters.
This attorney will work on capital markets transactions, securities regulation issues, corporate governance and general business matters.
The ideal candidate will have between 2-4 years of experience at a large law firm with a sophisticated capital markets/securities practice.
Excellent academic record and strong communication skills are required. Preferred experience will include advising clients in capital markets transactions, including registered and Rule 144A/Reg S offerings of investment grade and high-yield debt
Convertible debt, offerings of equity, PIPE transactions, ATM offerings
Initial public offerings
Price placements and liability management transactions.
Helpful experience will also include advising and assisting public companies on regulatory compliance and SEC reporting, including proxy statements, quarterly and annual reports and NYSE and Nasdaq rules.
